1. Introduction and Definitions
These terms of service ("Terms") govern the use of the services and applications provided by Conshultocracy AB, org. no. 559419-4697("Conshultocracy", "we", "us").
Service refers to the Conshultocracy web platform and associated applications, including but not limited to GRC Shadow DD (Red Flag Screener), due diligence tools, and related services.
User refers to the person or organization using the Service.
Screening refers to the process of checking companies or individuals against sanctions lists, adverse media, and other risk indicators.
Output refers to the report or assessment generated by the Service.
Target Audience: Our services are intended exclusively for business customers (B2B). The Swedish Consumer Sales Act (Konsumentköplagen) does not apply.
2. Acceptance of Terms
By using the Service, registering an account, or otherwise accessing the Conshultocracy platform, you accept these Terms in full. If you do not accept the Terms, you should not use the Service.
Use of the Service requires that you are authorized to act on behalf of your organization and that you comply with applicable laws and regulations, including sanctions legislation and data protection rules.
You must be at least 18 years old to use the Service.
3. Important Information About the Nature of the Service
PLEASE NOTE: This service is developed and maintained as a side project alongside regular employment. This means the following:
- Support times may be limited - Response times may be longer than for full-time commercial services.
- Do not build critical infrastructure around this service - Always ensure you have a backup plan and alternative solutions.
- The service is provided on a best-effort basis - We do our best but cannot guarantee 100% availability or error-free operation.
- We accept no liability for service downtime - Temporary service disruptions may occur.
4. Scope and Limitations of the Service
4.1 Support Tool
The Service is designed as a support tool to facilitate risk assessment and due diligence processes. The Service provides an initial risk assessment based on automated screening.
4.2 Recommendations, Not Decisions
Important: The Service provides recommendations, not automated decisions.
Screening outputs (such as GO, CAUTION, or STOP indicators) are initial recommendations based on aggregated data from multiple sources. They represent one input among many that you may consider in your decision-making process.
The application does not make any decisions on your behalf. All decisions rest solely with you, the User. You retain full control and responsibility for any decisions made based on information obtained through our services.
4.3 No Guarantee of Accuracy
Information may be incorrect, incomplete, or outdated. We aggregate information from various third-party sources and cannot guarantee the accuracy, reliability, or completeness of the information provided.
4.4 Your Responsibility for Verification
The assessment is indicative and should not be regarded as a final compliance analysis. It is always important to conduct your own verification. The User is responsible for taking additional measures according to internal policies and legal requirements.
4.5 No Transfer of Liability
Use of the Service does not transfer any liability to Conshultocracy. The User bears full responsibility for how the information is used and what decisions are made based on the Service's results.
5. Technical Requirements
For the Service to function correctly, certain technical requirements must be met. The Service uses the following external connections and data sources:
- Sanctions lists: OFAC (USA), EU Consolidated Financial Sanctions, UN Security Council Sanctions Lists, UK HM Treasury Sanctions, OpenSanctions
- Company registers: API connections to selected jurisdictions (availability varies)
- Adverse media: GDELT Global News Database and other news sources
- Payments: Stripe for handling payments and subscriptions
- Authentication: Supabase for user management
If something is not permitted in your IT environment (e.g., firewall restrictions, blocked domains, or restrictions on outgoing traffic), full functionality cannot be guaranteed.
6. User Account and Security
Registration of a user account is required to use the Service. You are responsible for:
- Providing correct and current information during registration
- Keeping your login credentials confidential
- Immediately notifying us if you suspect unauthorized access to your account
- All activity that occurs through your account
7. Conflicts of Interest and Independence
To ensure proper handling of conflicts of interest and independence, the following applies:
As the company's owners have permanent employment with another employer, no conflict of interest may exist between the use of the Service and the companies involved.
Conshultocracy reserves the right to immediately terminate any relationship if a conflict of interest arises or if there is a risk of such conflict.
We may decline or terminate customer relationships with companies where potential conflicts of interest are identified.
8. Prohibited Use
It is prohibited to:
- Use the Service for illegal purposes or to circumvent sanctions laws
- Manipulate or attempt to manipulate screening results
- Share login credentials with unauthorized persons
- Overload or disrupt the Service's infrastructure
- Use automated tools to extract data without permission
- Resell or commercialize the Service without written consent
9. Intellectual Property Rights
All software, source code, design, functionality, content, and trademarks belong to Conshultocracy or its licensors.
All copying, replication, or imitation of code, design, or functionality is strictly prohibited. Violation of this gives the right to compensation.
The User is granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms during the subscription period.
10. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.
Conshultocracy is not liable for:
- Decisions made based on the Service's results
- Incorrect, incomplete, or outdated information
- Service disruptions or unavailability
- Indirect damages, consequential damages, or lost profits
- Damages arising from unauthorized access to your account
Conshultocracy's total liability under these Terms is in all circumstances limited to the amount the User has paid for the Service during the past 12 months.
11. Payment and Pricing
The Service is offered according to the pricing plans listed on our website. The following applies:
- Contract period: Subscriptions run on a monthly basis unless otherwise specified.
- Price changes: We reserve the right to change prices. Price changes are communicated at least 30 days in advance and take effect at the next billing period.
- Payment terms: Other terms regarding payment, including refunds and disputes, are referred to our payment service provider (Stripe).
- Late payment: In case of non-payment, access to the Service may be restricted or terminated. Late payment interest applies according to the Swedish Interest Act (Räntelagen 1975:635).
12. Termination and Suspension
You may cancel your subscription at any time. The cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access to the Service immediately and without notice in case of:
- Breach of these Terms
- Suspected illegal activity
- Non-payment
- Conflict of interest according to section 7
13. Data Protection and Privacy
Personal data is processed in accordance with GDPR and our Privacy Policy.
The User is responsible for only providing necessary information and for complying with applicable data protection rules when using the Service.
14. Force Majeure
Conshultocracy shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
15. Changes to the Terms
We reserve the right to update these Terms. Changes are communicated via the Service or via email to the address linked to your account.
Continued use of the Service after changes have been communicated means that you accept the updated Terms.
16. Applicable Law and Dispute Resolution
These Terms are governed by Swedish law. Disputes arising from these Terms shall primarily be resolved through negotiation between the parties. If the parties cannot agree, the dispute shall be settled by Swedish general court with Uppsala District Court as the court of first instance.
