These terms of service ("Terms") govern the use of the services and applications provided by Conshultocracy AB, org. no. 559419-4697 ("Conshultocracy", "we", "us").
Service refers to the Conshultocracy web platform and associated applications, including but not limited to Varsel (Red Flag Screener), due diligence tools, and related services.
User refers to the person or organization using the Service.
Screening refers to the process of checking companies or individuals against sanctions lists, adverse media, and other risk indicators.
Output refers to the report or assessment generated by the Service.
Account refers to the user account you create to access the Service.
Third-Party Services refers to external APIs, databases, and services the Service connects to in order to provide its functionality.
Subscription Period refers to the billing cycle during which you have access to the Service.
Target Audience: Our services are intended exclusively for business customers (B2B). The Swedish Consumer Sales Act (Konsumentköplagen) does not apply.
By using the Service, registering an account, or otherwise accessing the Conshultocracy platform, you accept these Terms in full. If you do not accept the Terms, you should not use the Service.
Use of the Service requires that you are authorized to act on behalf of your organization and that you comply with applicable laws and regulations, including sanctions legislation and data protection rules.
You must be at least 18 years old to use the Service.
PLEASE NOTE: This service is developed and maintained as a side project alongside regular employment. This means the following:
The Service is designed as a support tool to facilitate risk assessment and due diligence processes. The Service provides an initial risk assessment based on automated screening.
Important: The Service provides recommendations, not automated decisions.
Screening outputs (such as GO, CAUTION, or STOP indicators) are initial recommendations based on aggregated data from multiple sources. They represent one input among many that you may consider in your decision-making process.
The application does not make any decisions on your behalf. All decisions rest solely with you, the User. You retain full control and responsibility for any decisions made based on information obtained through our services.
Information may be incorrect, incomplete, or outdated. We aggregate information from various third-party sources and cannot guarantee the accuracy, reliability, or completeness of the information provided.
The assessment is indicative and should not be regarded as a final compliance analysis. It is always important to conduct your own verification. The User is responsible for taking additional measures according to internal policies and legal requirements.
Use of the Service does not transfer any liability to Conshultocracy. The User bears full responsibility for how the information is used and what decisions are made based on the Service's results.
For the Service to function correctly, certain technical requirements must be met. The Service uses the following external connections and data sources:

As the company's owners have permanent employment with another employer, no conflict of interest may exist between the use of the Service and the companies involved.
Conshultocracy reserves the right to immediately terminate any relationship if a conflict of interest arises or if there is a risk of such conflict.
We may decline or terminate customer relationships with companies where potential conflicts of interest are identified.

The Service provides supportive due-diligence and risk-screening signals about businesses and their associated parties. It is not designed, validated, or intended for use as an AI system in any of the high-risk categories set out in Annex III of Regulation (EU) 2024/1689 (the "EU AI Act"). You agree not to use the Service, or any of its output, as a basis (whether sole, primary, or material) for:
The Service screens entities and their associated parties for compliance, sanctions, and reputational risk in a business due-diligence context only. Where any output incidentally concerns a natural person, it remains a contextual signal requiring independent human verification, and must not be used to make automated decisions about that individual's access to employment, credit, insurance, services, or rights.
All software, source code, design, functionality, content, and trademarks belong to Conshultocracy or its licensors.
All copying, replication, or imitation of code, design, or functionality is strictly prohibited. Violation of this gives the right to compensation.
The User is granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms during the subscription period.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

Conshultocracy's total liability under these Terms is in all circumstances limited to the amount the User has paid for the Service during the past 12 months.
Essential basis. The disclaimers and limitations in this section are an essential basis of the agreement between the parties and reflect the pricing of the Service. The Service would not be provided on these commercial terms without them. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for gross negligence or intentional misconduct.

You may cancel your subscription at any time. The cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access to the Service immediately and without notice in case of:
Personal data is processed in accordance with GDPR and our Privacy Policy, which is incorporated into these Terms by reference.
We are committed to compliance with Regulation (EU) 2016/679 ("GDPR") and other applicable data protection laws. You acknowledge that:
A GDPR Article 28 Data Processing Agreement is available on request for customers requiring one.
In accordance with our privacy-by-design approach we minimize retention. Screening Output is generated on demand and delivered to your device; we do not retain completed screening reports on our servers. Bounded records that we do retain — including billing records and a pseudonymized service audit trail — are described in the Privacy Policy.
Provision of the Service may involve transfers of data to countries outside the European Economic Area. We implement appropriate safeguards for such transfers in accordance with Chapter V of the GDPR. Current recipients and the safeguard relied on for each are listed in the Privacy Policy.
The User is responsible for only providing necessary information and for complying with applicable data protection rules when using the Service.
Conshultocracy shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
We reserve the right to update these Terms. Changes are communicated via the Service or via email to the address linked to your account.
Continued use of the Service after changes have been communicated means that you accept the updated Terms.
These Terms are governed by Swedish law. Disputes arising from these Terms shall primarily be resolved through negotiation between the parties. If the parties cannot agree, the dispute shall be settled by Swedish general court with Uppsala District Court as the court of first instance.
These Terms, together with the Privacy Policy and any other agreement expressly incorporated by reference (including any Data Processing Agreement executed between the parties), constitute the entire agreement between you and Conshultocracy regarding the Service, and supersede any prior understanding on that subject matter. Where a signed Data Processing Agreement and these Terms conflict on a data protection matter, the Data Processing Agreement prevails.
If any provision of these Terms is found unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed. The remaining provisions continue in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
Notices to you may be sent to the email address associated with your Account. Notices to us should be sent to the address in section 18. Force majeure is addressed in section 14.
These Terms are provided in English. In the event of any conflict between translations, the English version prevails.
